Terms of Use
The agreement that governs your access to and use of Reap SmartERP.
These Terms of Use ("Terms") form a binding agreement between you (and the business you represent) and REAPSMART PRIVATE LIMITED, a company incorporated under the Companies Act, 2013, having its registered office at 0-1-18, 1st Street, Rajagopala Puram, Near Ramalayam Temple, Naidupet, Andhra Pradesh – 500016 ("Reap SmartERP", "we", "us"). They govern your access to and use of our website and the Reap SmartERP platform (the "Services"). By accessing or using the Services, you agree to be bound by these Terms.
1Eligibility & account
You must be at least 18 years old and capable of forming a binding contract to use the Services. You are responsible for the accuracy of the information you provide, for all activity under your account, and for keeping your login credentials confidential.
2The Services
Reap SmartERP provides cloud-based enterprise resource planning software, including modules for sales, purchase, inventory, finance, GST/TDS compliance, manufacturing and CRM, together with AI-assisted features and integrations with third-party platforms such as Shopify, Amazon and Flipkart.
3Demos & trials
Demonstrations and any evaluation access are provided for assessment purposes. Features available during a demo or trial may differ from a paid subscription and may be changed or withdrawn at our discretion.
4Subscriptions, fees & taxes
- Paid plans are billed monthly or annually as selected at the time of subscription.
- All fees are exclusive of applicable taxes, including Goods and Services Tax (GST), which will be charged additionally as required by law.
- Subscriptions renew automatically for successive periods unless cancelled before the renewal date.
- Fees are payable in advance and, except as stated in our Refund & Cancellation Policy, are non-refundable.
5Acceptable use
You agree not to:
- use the Services for any unlawful, fraudulent or infringing purpose;
- attempt to gain unauthorised access to the Services or related systems;
- reverse-engineer, decompile or copy the software except as permitted by law;
- interfere with or disrupt the integrity or performance of the Services;
- upload malicious code or content that is unlawful, defamatory or violates third-party rights.
6Third-party integrations
The Services may interoperate with third-party platforms. Your use of those platforms is governed by their own terms, and we are not responsible for their availability, accuracy or actions.
7Your data & privacy
You retain ownership of the business data you submit to the Services. You grant us a limited licence to host and process that data solely to provide the Services. Our handling of personal data is described in our Privacy Policy. You are responsible for ensuring you have the right to upload and process the data you put into the platform.
8Intellectual property
The Services, including all software, design, text, graphics and trademarks (including "Reap SmartERP"), are owned by or licensed to REAPSMART PRIVATE LIMITED and are protected by applicable intellectual-property laws. No rights are granted except the limited right to use the Services under these Terms.
9Service availability
We aim to provide reliable, high-availability Services but do not guarantee uninterrupted or error-free operation. We may carry out maintenance, updates or changes that temporarily affect access.
10Disclaimer of warranties
To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. Reap SmartERP outputs (including AI-generated suggestions and reports) are aids and do not constitute professional, financial, tax or legal advice.
11Limitation of liability
To the maximum extent permitted by law, REAPSMART PRIVATE LIMITED shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue or data. Our total aggregate liability arising out of or relating to the Services shall not exceed the fees paid by you to us in the twelve (12) months preceding the claim.
12Suspension & termination
We may suspend or terminate your access for breach of these Terms or non-payment. You may cancel your subscription at any time, subject to our Refund & Cancellation Policy. On termination, you may request export of your data within a reasonable period, after which it may be deleted.
13Governing law & jurisdiction
These Terms are governed by the laws of India. Subject to any applicable arbitration, the courts at Naidupet / Tirupati, Andhra Pradesh shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.
14Changes to these Terms
We may revise these Terms from time to time. Material changes will be posted on this page. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
